Terms of carriage and service

Draft — under legal review.

These terms govern quotes, freight carriage, storage and related services provided by California Fulfillment LLC, and use of this website.

This is a first draft written by the operations team to set out how CFL actually works. It is not yet legal advice or a final contract. Where a signed customer agreement, tariff or government contract applies, that document controls over these terms.

1. Definitions

  • “CFL”, “we” — California Fulfillment LLC, including its facilities in California, Texas, New Jersey, New York, Tennessee, Georgia and Florida.
  • “Customer”, “you” — the person or company requesting a quote or service, and the party named as shipper on a bill of lading.
  • “Services” — LTL and truckload freight, same-day delivery, warehousing and storage, pallet and container consolidation, 3PL fulfillment, logistics consulting, and supplies.
  • “Bill of lading” (BOL) — the shipping document issued for each shipment, which together with these terms forms the contract of carriage.

2. Quotes and rates

  • Online LTL and truckload quotes are based on the origin and destination, weight, dimensions, freight class and accessorials you enter. A quote is an estimate until the shipment is booked.
  • If the actual weight, dimensions, class or accessorial requirements differ from those declared, the shipment will be re-rated at the correct values and the difference, plus any carrier inspection fee, will be invoiced.
  • LTL shipments carry a $150.00 minimum charge and truckload and drayage moves start at $400.00, as stated on the quote. Parcel is rated from the published rate card by zone and weight.
  • Storage, consolidation, same-day and 3PL services are priced on a written proposal prepared by a CFL operator. The proposal states the units (per pallet position, per container, per run, per order) and any minimums.
  • Fuel surcharges follow the published index stated on the quote and change weekly.

3. CFL’s role: carrier, broker or warehouseman

Depending on the service, CFL acts as a warehouseman (for goods held in a CFL facility) or as the arranger of transportation (for freight tendered under CFL’s account to a third-party motor carrier holding its own operating authority). CFL does not operate as a motor carrier. The role applies per shipment or per service and is stated on the BOL, proposal or warehouse receipt. Liability differs by role, as set out below.

4. Tendering freight

  • You warrant that the freight is accurately described, properly packaged for transport, correctly labelled and, where applicable, declared as hazardous materials with the required documentation. Undeclared hazardous materials may be refused, and you are responsible for resulting fines and costs.
  • Freight must be ready at the agreed time. Waiting time beyond the free period stated on the quote is billed as detention.
  • Accessorial services (liftgate, residential, limited access, inside delivery, appointments, redelivery, and others as listed on the quote) are charged at the rates shown when they are declared or, if not declared, at the carrier’s tariff rate when they occur.

5. Liability for loss or damage in transit

  • For freight arranged with a third-party carrier, that carrier’s tariff and liability limits under 49 U.S.C. § 14706 (the Carmack Amendment) apply, and a higher declared value must be stated on the BOL and the applicable charge paid. CFL files and manages the claim with the carrier on your behalf but is not the carrier.
  • Claims must be filed in writing, with the BOL, delivery receipt noting the exception, invoice showing value, and photographs where available.
  • CFL is not liable for delay except as expressly agreed in writing, nor for consequential, incidental or special damages, including lost profit.

6. Storage and warehousing

  • Goods are accepted for storage under a warehouse receipt and these terms. Storage is billed per pallet position per month after the first 30 days, at the published rate of $25.00 per pallet per month unless the proposal states otherwise. Handling in and out, pick and pack, and accessorials are billed as stated on the proposal.
  • CFL exercises reasonable care in the handling and storage of goods.
  • CFL has a warehouseman’s lien on stored goods for unpaid charges, as provided by law.

7. Consolidation and 3PL services

For container devanning, consolidation, kitting and order fulfillment, CFL performs the services described in the proposal to the standards stated there, including receiving counts against the packing list or ASN, discrepancy reporting, inventory accuracy targets and order cut-offs.

8. Payment

  • Online LTL/TL bookings may require payment or a card on file at booking.
  • Disputed line items must be raised in writing; undisputed amounts remain due.

9. Government contracts

Where services are provided under a federal, state or prime-contractor agreement, the terms of that contract, including any flowed-down Federal Acquisition Regulation clauses, take precedence over these terms to the extent of any conflict.

10. Use of the website

  • The forms and any quoting or tracking tools on this site are provided for genuine business use. Do not scrape, overload or interfere with them.
  • Tracking information is provided as received from carriers and systems and may lag events; it is not a warranty of delivery time.
  • Content on this site — guides, glossary, diagrams — is general information about the freight industry and not advice for any specific shipment or contract.
  • The site and its content are owned by CFL or its licensors. The CFL name and mark may not be used without written permission.

11. General

  • Force majeure — neither party is liable for failure caused by events beyond its reasonable control, including weather, port or terminal closures, government action and carrier failure, provided it notifies the other party promptly.
  • Entire agreement — these terms, the applicable quote or proposal, and the BOL or warehouse receipt form the whole agreement for a shipment or service; a signed master agreement controls where one exists.
  • Changes — we may update these terms by posting a new version with a new date; the version in force when a shipment is booked or a service period begins applies to it.
